These Terms constitute a legally binding agreement between you and Calliya, Inc. ("we," "us," "our," or "Calliya"). Please read them carefully.

These Terms apply to all users of our Services, including:

  • Individual users and team members
  • Company administrators and account owners
  • Third-party integrations and API users
  • Trial and paid subscription users

1.2 Updates to Terms

We may modify these Terms from time to time. If we make material changes, we will notify you through the Services or by email. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

2. Description of Services

2.1 Unified Communication Platform

Calliya provides a comprehensive communication platform that includes:

  • Voice Services: Business phone lines, call routing, and call management
  • SMS Messaging: Text messaging capabilities for business communication
  • Team Collaboration: Internal messaging and team coordination tools
  • Multi-Brand Management: Support for multiple business identities
  • Integrations: Connections with Slack and other business tools
  • White-Glove Setup: Professional configuration and training services

2.2 Service Availability

We strive to maintain high service availability but cannot guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

2.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time. We will provide reasonable notice for significant changes that affect functionality.

3. User Accounts and Registration

3.1 Account Creation

To use our Services, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Keeping your account information current and accurate

3.2 Eligibility

You must be at least 18 years old and have the authority to enter into this agreement. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3.3 Account Security

You agree to use strong passwords and enable multi-factor authentication when available. We recommend regular password updates and monitoring of account activity.

4. Acceptable Use and Restrictions

4.1 Permitted Use

You may use our Services for legitimate business communication purposes in compliance with all applicable laws and regulations.

4.2 Prohibited Activities

You agree not to use the Services for:

  • Illegal Activities: Any unlawful purpose or activity
  • Spam or Unsolicited Communications: Sending unsolicited messages or automated calls
  • Harassment: Threatening, abusive, or harassing communications
  • Fraud: Deceptive practices or misrepresentation
  • Security Violations: Attempting to breach or circumvent security measures
  • Interference: Disrupting the Services or other users' access
  • Intellectual Property Infringement: Using copyrighted or trademarked material without permission

Compliance with Laws

You are responsible for ensuring your use of the Services complies with all applicable laws, including but not limited to TCPA, CAN-SPAM, GDPR, and other communication regulations.

4.3 Content Responsibility

You are solely responsible for all content transmitted through the Services, including:

  • Voice calls and voicemails
  • SMS messages and attachments
  • Team chat messages and files
  • Contact lists and customer data

5. Billing and Payments

5.1 Subscription Plans

Our Services are offered through various subscription plans with different features and usage limits. Current pricing is available on our website and may be updated from time to time.

5.2 Payment Terms

  • Billing Cycle: Subscriptions are billed monthly in advance
  • Payment Methods: Credit card, debit card, or other approved payment methods
  • Auto-Renewal: Subscriptions automatically renew unless cancelled
  • Price Changes: We will provide 30 days notice of any price increases

5.3 Usage-Based Charges

Additional charges may apply for:

  • Overage minutes beyond your plan limits
  • SMS messages exceeding plan allowances
  • Additional phone numbers
  • Extra company profiles

5.4 Refunds and Cancellations

Subscription fees are non-refundable except as required by law or as specified in our Refund Policy. You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period.

5.5 Late Payments

If payment is not received when due, we may suspend or terminate your access to the Services. You remain responsible for all charges incurred until termination.

6. Privacy and Data Protection

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of content you transmit through the Services. By using the Services, you grant us a limited license to process, store, and transmit your content as necessary to provide the Services.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about the Services become our property and may be used without restriction or compensation.

8. Service Level and Disclaimers

8.1 Service Level Commitment

We strive to maintain high service availability and performance, but cannot guarantee uninterrupted or error-free operation of the Services.

Important Legal Notice

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.3 Emergency Services

Our Services are not intended to replace traditional emergency services. Always use traditional emergency services (911) for emergencies.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALLIYA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9.1 Third-Party Services

We are not responsible for the availability, content, or practices of third-party services that integrate with our platform, including but not limited to Slack, telephony providers, and other business tools.

10. Termination

10.1 Termination by You

You may terminate your account at any time by:

  • Cancelling your subscription through the Services
  • Contacting our customer support
  • Following the cancellation process outlined in your account settings

10.2 Termination by Us

We may suspend or terminate your access to the Services immediately if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account becomes delinquent
  • We are required to do so by law
  • We determine that continued provision of Services creates legal or business risks

10.3 Effect of Termination

Upon termination:

  • Your access to the Services will cease
  • You remain responsible for all charges incurred through the termination date
  • We will retain your data according to our Privacy Policy
  • You may request data export within 30 days of termination

11. Governing Law and Disputes

11.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

11.2 Dispute Resolution

Any disputes arising from these Terms or the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to protect intellectual property rights.

11.3 Class Action Waiver

You agree that any arbitration or legal proceeding will be conducted on an individual basis and not as part of a class action, collective action, or representative proceeding.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Calliya regarding the Services.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.

12.3 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.

12.4 Force Majeure

We will not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, or third-party service failures.
